This Agreement is entered into by and between Smart Emergency Solutions, LLC. ("Company") and the individual or entity accessing the Live Safety App ("Recipient").

📄 Live Safety App – Terms of Use Agreement

Welcome to the Live Safety App, a product owned and operated by Smart Emergency Solutions, LLC ("Company", "we", "us", or "our").
By accessing or using the Live Safety App ("App"), whether via web, mobile device, or tablet, you agree to be bound by this Terms of Use Agreement ("Agreement"). If you do not agree, do not use the App.

1. Eligibility and Access
The Live Safety App is intended for use by authorized hotel and property personnel for emergency preparedness, training, and response coordination. You must be 18 years or older to use the App.

2. Limited License
We grant you a non-exclusive, non-transferable, limited license to access and use the App solely for emergency training, safety planning, and real-time response functions within your organization.
You may not copy, modify, reverse-engineer, resell, or exploit any portion of the App without written permission.

3. User Conduct
You agree to:
• Use the App only for lawful purposes.
• Not impersonate another person or misrepresent your role.
• Not upload malicious code, spam, or attempt unauthorized access.
• Follow all local and federal emergency safety protocols.

4. Confidentiality
Use of the App during any pilot or trial period is also governed by our Non-Disclosure Agreement (NDA). All emergency protocols, checklists, guides, and app features are considered proprietary.

5. Data and Privacy
We may collect non-personal usage data to improve the performance and safety of our services. This includes user activity logs, device type, property name, and in-app engagement. No personal health or biometric data is stored.

6. Updates and Modifications
We reserve the right to modify or suspend the App at any time for security, compliance, or product improvement. Continued use after changes implies acceptance of updated terms.

7. Disclaimer
The App is a support tool, not a substitute for professional emergency responders or trained safety teams. We are not liable for any injury, damage, or loss due to reliance on the App during real emergencies.

8. Limitation of Liability
To the fullest extent permitted by law, Smart Emergency Solutions, LLC shall not be liable for indirect, incidental, or consequential damages arising from your use of the App.

9. Termination
We reserve the right to revoke access to any user who violates this Agreement or misuses the App.

10. Governing Law
This Agreement shall be governed by the laws of the State of [Insert State, e.g., Texas], without regard to its conflict of law principles.

📄 Live Safety App – Non-Disclosure Agreement
Smart Hotel Manager Non-Disclosure Agreement (NDA)
Effective Date: February 1, 2025

1. Confidential Information
For the purposes of this Agreement, "Confidential Information" includes but is not limited to, proprietary technology, software, features, business strategies, product roadmaps, and any other non-public information related to the Live Safety App.

2. Obligations of Recipient
The recipient agrees to:
• Use Confidential Information solely for evaluating the Live Safety App during the trial period.
• Not disclose, copy, distribute, or reverse-engineer any part of the App.
• Implement reasonable measures to prevent unauthorized disclosure.
• Acknowledge that minor disclosures incidental to normal use shall not be considered a breach of this Agreement.

3. Exclusions
Confidential Information does not include information that:
• Becomes publicly available through no breach by Recipient.
• Is lawfully received from a third party without restriction.
• Is independently developed by Recipient without reference to Confidential Information.

4. Term & Termination
This Agreement remains in effect for the duration of the trial period (30 days) and continues for two (2) years thereafter regarding Confidential Information.

5. Return or Destruction of Information
Upon request or expiration of the trial, Recipient must delete or destroy any Confidential Information obtained during use of the App.

6. No License or Ownership
Nothing in this Agreement grants Recipient rights to the Company’s intellectual property, software, or technology beyond temporary use for evaluation purposes.

7. Legal Remedies
Unauthorized disclosure may result in legal action, including but not limited to injunctive relief and damages.

8. Governing Law
This Agreement shall be governed by the laws of [Insert Jurisdiction].
By checking the box and continuing to download the Live Safety App, you acknowledge that you have read, understood, and agreed to the terms of this NDA.
